Tod Northman

Tod Northman is Counsel in the Cleveland office of Tucker Ellis LLP, focusing his practice on Aviation and Business Transactions (including mergers and acquisitions, private equity and other general corporate representation).

Tod's aviation practice focuses on the representation of cargo conversion companies, maintenance and repair organizations, financial institutions, high-net worth individuals, and middle market corporations, in connection with the acquisition and disposition of corporate and commercial aircraft portfolios, and the related financing and/or leasing thereof. His practice also includes advising clients on conversion contracts, maintenance and service contracts, leases, and FAA and DOT regulatory matters.

Represented aircraft conversion company in negotiations with prospective customers from China, Brussels, England, Brazil, and the United States to convert aircraft from passenger to freighter configuration.

Represented aircraft owners in myriad transactions to purchase, sell, lease, maintain and charter of aircraft of various sizes and ages.

Advised privately held middle market company on structure for aircraft ownership and on tax matters.

Represented aircraft conversion companies in negotiating master and one-off vendor agreements with engineering services and with parts providers.

Represented seller in reorganization and $28 million stock sale of company holding three destination resorts in Oregon.

Represented engineering company in negotiations of joint venture agreement to engineer and obtain regulatory certification to convert Boeing 767 aircraft from passenger to freighter configuration.

Represented aircraft conversion company in negotiations with the Boeing Company to obtain license rights to use Boeing proprietary materials.
