Ludgy LaRochelle is a results-oriented business and transactional attorney representing both domestic and international companies.

Ludgy counsels businesses of all sizes through all phases of the business life cycle: from initial formation through operations, acquisitions, and restructuring to maturity and succession planning. He provides tailor-made solutions to clients in the areas of acquisitions and divestitures, real estate transactions, corporate governance, intellectual property, and regulatory compliance. Ludgy represents clients across a broad range of industries, including manufacturing, technology, and professional and financial services, and he specializes in navigating and structuring complex distribution-supply chain networks for clients within the manufacturing industry.

Ludgy also regularly represents non-profits and tax-exempt organizations on a myriad of issues, including formation and exemption authorization, board and fiduciary governance, charitable gaming regulations and filings, and employment and volunteer labor issues.

Ludgy lives in Highland Heights, Ohio, with his wife Candace and their daughter Patterson. He is a member of the historic Antioch Missionary Baptist Church where he serves on its Board of Trustees.

manufacturing

  • Represented private equity holding company in stock and asset acquisition of rubber manufacturer
  • Represented international manufacturer of advanced fluid and gas transfer connectors in maintaining complex distribution network in over 30 countries; formed and terminated various exclusive distributors as needed; counseled manufacturer on antitrust implications associated with proposed fixed-price arrangement among various distributors for aftermarket services
  • Represented water distillation/private label company in major corporate restructuring program, including orchestrating large-scale shareholder stock redemption program in preparation of intra-company divisional spin-off
  • Structured international distribution agreement for oil skimmers manufacturer with French corporation in obtaining exclusive rights to sell products in North America, Central America, and South America
  • Represented tank components manufacturer in commercial park real estate transaction, which included extensive warehouse expansion adjacent to municipal airport, requiring authorization from the FAA
  • Structured complex distribution network for closely held, international OEM of industrial clutches and brakes manufacturer to distribute products into East Asian markets through forming Singapore sales subsidiary; formed domestic IC-DISC affiliate to ascertain tax savings on international sales
  • Structured master private label and packaging template for organic cosmetics manufacturer

  • Represented international manufacturer of advanced fluid and gas transfer connectors in purchase of intellectual property (patents) from engineering corporation; structured prototype development, production, and cross-technology licensing agreements to bring new technology to market
  • Represented internet service and data center provider in restructuring various services agreements including the master service agreement, authorized use policy, service level agreement, privacy policy, and business associate agreement to ensure HIPAA compliance for certain healthcare customers
  • Represented small-cap telecommunications corporation in multiple sales of broadband Personal Communications Service licenses to AT&T, totaling more than $20 million, requiring FCC authorization to complete each sale; coordinated subsequent dissolution and wind up of telecommunications corporation and its 11 subsidiaries located in multiple states
  • Represented regional internet service provider in acquisition of competing company
