Tucker Ellis Client Prevails After Bench Trial in Corporate Dissolution Dispute

On June 20, 2014 following a bench trial, Lake County, Ohio Common Pleas Judge Richard L. Collins, Jr. ruled in favor of Tucker Ellis client Judyth Bond and ordered that Brentwood Mobile Manor, Inc. be dissolved and its affairs wound up. Brentwood is an Ohio corporation that owns a large mobile home park in Warren, Ohio. Judyth Bond, a 50% shareholder in Brentwood, wished to sell or wind-up the corporation while Brentwood’s other 50% shareholder and company president sought to continue operating the company. The court found that the co-owners were deadlocked in the management of Brentwood’s affairs and that accomplishing the objects of the corporation was impracticable. The court ordered Judyth Bond’s requested relief of judicial dissolution under R.C. § 1701.91(A).
