Juvan and Hewitt Lead Tucker Ellis Team in Wynnchurch Exit of Stampede Culinary Partners to Premium Brands Holding Corporation

On January 7, Wynnchurch Capital – a prominent private equity firm – announced the sale of its portfolio company Stampede Culinary Partners, Inc. – a leading North American culinary solutions provider with a specialized focus on sous vide solutions – to Premium Brands Holdings Corporation (TSX:PBH) – a producer, marketer, and distributor of branded specialty food products. Tucker Ellis served as lead legal counsel to Stampede Culinary Partners and Wynnchurch, playing a central role in steering the transaction through negotiation and execution.
In its press release, Wynnchurch Capital said that Stampede – which serves a blue-chip customer base across multiple channels, including restaurants, retail, and foodservice distribution – has grown significantly through organic expansion, strategic acquisitions, and continued investments in capacity and capabilities.
The purchase price for the Stampede acquisition, subject to further customary post-closing net working capital adjustments and excluding transaction costs, was approximately US$688.0 million, plus $100 million in the form of an earnout upon achievement of performance milestones. In its press release, Premium Brands indicated that this strategic acquisition will expand Premium Brands’ presence in the U.S. foodservice and retail channels and enhance its production capabilities, notably in sous-vide and value-added protein solutions, while positioning Stampede within a broader ecosystem of specialty food brands.
