On March 11, Glenn Morrical and Ludgy LaRochelle presented a webinar (with significant contributions from Dan Schiau) sponsored by Case Western Reserve University (CWRU) School of Law, “Ohio’s New Limited Liability Company Act.”  The Act, which becomes effective on January 1, 2022, is a complete replacement of existing law. It eliminates many concepts that currently exist, such as the distinction between member-managed and manager-managed LLCs, and provides even further freedom to the parties to structure their terms by agreement, with fewer standards mandated by statute. Glenn and Ludgy provided an overview of many aspects of the Act that practitioners should understand in order to properly advise clients about the structure of their LLCs. Watch the presentation here.
