Bart Loethen is a corporate attorney specializing in information technology and corporate transactions.

Bart works with both privately held and public companies, software providers, technology-enabled businesses, service businesses, real estate developers, venture funds, private equity funds, and hedge funds. He devotes a significant portion of his practice to technology and emerging growth companies.

Before law school, Bart used his undergraduate degree in accounting and CPA certification as an Internal Revenue Service revenue agent, giving him a keen eye for tactical tax advantages in business transactions.

A founding member of Synergy Law Group, Bart joined Tucker Ellis to help establish the firm's business and transactional law presence in Chicago.

Bart and his wife have five children.

  • Represented a leading provider of mortgage due diligence and risk management services with nearly 500 employees across five U.S. locations and innovative platform-based risk management offerings in its sale to a leading global information technology, consulting and outsourcing company; the transaction included purchase consideration of U.S. $75 million and a deferred earn-out component, and was viewed by the acquirer as a platform acquisition with opportunity for expansion
  • Represented an international executive protection company in its sale to a security services company for $30 million
  • Represented a mobile bidding platform company in its sale to a private equity portfolio company for $17 million in cash, stock, and earn-out
  • Represented the leading community wind power development company in its acquisition of a publicly traded company and follow-on acquisition of another alternative energy company focusing on small turbine wind generation and solar power
  • Represented a strategic investment and operating company that has, as its business purpose, engaged in buying and selling companies and incident to such representation has engaged in at least 15 different business acquisitions, sales, or combinations ranging in value from $500,000 to $75 million; this engagement has included significant SEC filing and regulatory compliance work for small cap public companies, which are occasionally the targets of such acquisitions
  • Represented a midwestern real estate title company in the sale of its assets to a competitor in a transaction valued at approximately $7 million
